Terms of Service

1. Overview

Park Panther is a smart parking guidance platform operated by Phillips Systems and Product Development LLC (“Park Panther,” “we,” “us,” or “our”). The platform provides parking-related data, real-time availability guidance, operator analytics, and related tools through mobile and web interfaces (collectively, the “Service”).

By accessing or using the Service in any capacity — as a driver, operator, institution, or visitor — you (“User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Service.

2. Service Description

Park Panther provides parking guidance tools intended to assist users in locating available parking spaces. The Service operates only in environments where the Park Panther system has been deployed by a participating institution, property manager, or operator. Features — including but not limited to real-time availability data, live operator dashboards, and sensor-based monitoring — are only available where the underlying infrastructure has been installed and activated.

The scope, accuracy, and functionality of the Service may vary significantly depending on the deployment environment, hardware configuration, network conditions, and institutional setup. Park Panther does not guarantee that any specific feature will be available in any particular location or at any particular time.

3. No Guarantee of Accuracy or Availability

THIS SECTION IS IMPORTANT. PLEASE READ CAREFULLY.

Parking data provided through the Service — including space availability, occupancy status, and lot capacity — is provided for informational and guidance purposes only. Park Panther makes no representations, warranties, or guarantees of any kind regarding:

• —The accuracy, completeness, or timeliness of any parking availability data
• —The availability of any specific parking space at any specific time
• —System uptime, response times, or uninterrupted access to the Service
• —The reliability or performance of third-party sensors, hardware, or infrastructure
• —The accuracy of any data following system outages, connectivity failures, or hardware malfunctions

Parking availability is NOT guaranteed. Data shown through the Service may be delayed, incomplete, or inaccurate. Users must verify actual conditions upon arrival. The absence of a displayed alert does not guarantee that parking is available.

4. User Responsibility

By using the Service, you acknowledge and agree that:

• —You are solely responsible for all parking decisions you make, regardless of information provided by the Service
• —You must comply with all applicable parking laws, regulations, signage, and institutional policies at all times
• —You must independently verify parking conditions, permit requirements, and availability upon arrival
• —The Service is a guidance tool only — it does not authorize, reserve, or guarantee access to any parking space
• —You will not use the Service in any manner that violates applicable laws or the rights of others
• —You are responsible for providing accurate information when submitting contact requests or onboarding forms

5. Limitation of Liability

THIS SECTION LIMITS OUR LEGAL LIABILITY. PLEASE READ CAREFULLY.

To the maximum extent permitted by applicable law, Park Panther, its owners, officers, employees, contractors, and affiliates shall NOT be liable for any damages, losses, or costs of any kind arising from your use of or reliance on the Service, including but not limited to:

• —Parking tickets, citations, fines, towing fees, or impoundment costs
• —Missed classes, meetings, appointments, or events
• —Delays, lost time, or associated costs
• —Reliance on inaccurate, delayed, or incomplete parking data
• —Indirect, incidental, special, consequential, or punitive damages of any kind
• —Loss of profits, revenue, data, goodwill, or other intangible losses
• —Damages resulting from system outages, data errors, or service interruptions
• —Damages resulting from unauthorized access to or alteration of your data

In no event shall Park Panther's total cumulative liability to you for any claims arising from use of the Service exceed the greater of (a) the total amount paid by you to Park Panther in the twelve months preceding the claim, or (b) twenty-five U.S. dollars ($25.00).

6. No Warranties

THE SERVICE IS PROVIDED “AS-IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PARK PANTHER EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NO ORAL OR WRITTEN INFORMATION OR ADVICE FROM PARK PANTHER OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

7. Age Requirement

The Service is intended for users who are 18 years of age or older. By using the Service, you represent and warrant that you are at least 18 years old. If you are under 18, you may not use the Service.

8. Intellectual Property

All content, branding, software, design, trademarks, trade names, logos, and materials associated with the Park Panther platform — including the Park Panther name and mark — are the exclusive property of Phillips Systems and Product Development LLC or its licensors. Nothing in these Terms grants you any license or right to use any Park Panther intellectual property without prior written consent. Unauthorized reproduction, distribution, modification, or commercial use of any Park Panther content is strictly prohibited.

9. Third-Party Systems

The Service may rely on or integrate with third-party infrastructure, including but not limited to cloud hosting providers, sensor hardware manufacturers, analytics platforms, and mobile operating systems. Park Panther is not responsible for the availability, accuracy, security, or performance of any third-party system, and shall not be liable for any failures, errors, outages, or issues originating from third-party infrastructure or services.

10. Modifications to Service

Park Panther reserves the right to modify, update, suspend, or discontinue the Service — or any part thereof — at any time, with or without prior notice. We may also update these Terms at any time. We will update the “Last updated” date when material changes are made. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

11. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved informally, it shall be submitted to binding individual arbitration in accordance with applicable arbitration rules, to the extent permitted by law. You agree to waive any right to participate in class action litigation or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to prevent irreparable harm.

12. Governing Law

These Terms of Service and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and Park Panther regarding your use of the Service and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral, relating to the subject matter herein.
